By accessing or using the Explyra™ platform ("Service"), you agree to the following conditions. These Terms of Service constitute a legally binding agreement between you and Explyra™. If you are using the service on behalf of an organization, you represent that you have the authority to bind that entity to these terms.
Explyra™ offers expense management, financial tracking, and productivity tools. You agree to use the platform only for its intended professional purposes. Misuse of the platform, including attempt to disrupt operations or scraping data, is strictly prohibited.
Connected Accounts: If you connect your Google Workspace (Drive, Gmail) or other third-party accounts, you grant Explyra™ the permissions necessary to perform the requested actions (e.g., retrieving receipts, storing documents). You remain the sole owner of the data in those accounts.
Users are responsible for maintaining the security of their account credentials. You agree to:

Explyra™ provides optional integrations with third-party software as a service (SaaS) providers, primarily Google Workspace APIs. Your use of these features is subject to the following conditions:

All trademarked names (Explyra™), logos, visual designs, and source code are the proprietary property of Mitanshu Bhasin and the Explyra development team. You may not use our branding for external commercial purposes without written consent.
We reserve the right to suspend or terminate access at our discretion, particularly in cases of suspected fraud or policy violation. Upon termination, all licenses granted to you cease immediately. You may request data export before account deletion.
Explyra™ is provided "AS IS." We disclaim all warranties, express or implied. In no event shall we be liable for data loss, service interruptions, or financial discrepancies resulting from your use of the platform. You agree to indemnify and hold Explyra™ harmless from any claims arising from your breach of these terms.
You retain all rights to the data, information, or material that you submit to the Service ("User Content"). By using the Service, you grant Explyra™ a worldwide, non-exclusive, royalty-free license to host, store, transfer, display, and perform User Content solely for the purpose of providing the service to you.
Explyra™ incorporates artificial intelligence and machine learning technologies to automate expense tracking and insights. You acknowledge that:
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS. You and Explyra™ agree that any dispute, claim, or controversy arising out of or relating to these Terms shall be settled by binding arbitration in Delhi, India, in accordance with the Arbitration and Conciliation Act, 1996.
The number of arbitrators shall be one (1). The language of arbitration shall be English. The award of the arbitrator shall be final and binding on the parties.
You and Explyra™ agree that any proceedings to resolve or litigate any dispute in any forum will be conducted solely on an individual basis. Neither you nor Explyra™ will seek to have any dispute heard as a class action or in any other proceeding in which either party acts or proposes to act in a representative capacity.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EXPLYRA™, ITS AFFILIATES, AGENTS, DIRECTORS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES.
UNDER NO CIRCUMSTANCES WILL EXPLYRA™ BE RESPONSIBLE FOR ANY DAMAGE, LOSS, OR INJURY RESULTING FROM HACKING, TAMPERING, OR OTHER UNAUTHORIZED ACCESS OR USE OF THE SERVICE OR YOUR ACCOUNT.
You agree to defend, indemnify, and hold harmless Explyra™ and its subsidiaries, agents, licensors, managers, and other affiliated companies from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from your use of and access to the Service.
While we strive for 99.9% uptime, Explyra™ does not guarantee that the Service will be uninterrupted or error-free. We reserve the right to perform scheduled maintenance and emergency updates that may result in temporary outages.
From time to time, we may offer "Beta" features. These features are provided for testing purposes and may contain bugs. Usage of Beta features is at your own risk, and we may discontinue them at any time without notice.
These Terms shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the courts located in New Delhi, India for the purpose of litigating all such claims or disputes.
Explyra™ reserves the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice. We shall not be liable to you or to any third party for any modification, price change, suspension, or discontinuance of the Service.
You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
Explyra™ shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including, without limitation, acts of God, war, riot, embargoes, acts of civil or military authorities, fire, floods, accidents, service outages resulting from equipment and/or software failure and/or telecommunications failures.
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.
These Terms, together with the Privacy Policy and any other legal notices published by Explyra™, shall constitute the entire agreement between you and Explyra™ concerning the Service.
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Explyra™'s failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Explyra™ without restriction.
Nothing in these Terms shall be construed as creating a partnership, joint venture, or agency relationship between the parties.
Provisions that, by their nature, should survive termination of these Terms shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

These Terms are written in English. Any translation into another language is provided for convenience only. In the event of a conflict between the English version and a translation, the English version shall prevail.
These Terms shall be governed by and construed in accordance with the laws of India. You agree that any legal action or proceeding between Explyra™ and you for any purpose concerning these Terms or the parties' obligations hereunder shall be brought exclusively in a court of competent jurisdiction sitting in New Delhi, India.
We aim for a service availability of 99.9% excluding scheduled maintenance. In the event of an unplanned outage exceeding 4 consecutive hours, Enterprise users may be eligible for service credits as defined in their specific service contract.
Explyra™ shall not be liable for any failure to perform its obligations hereunder where such failure results from any cause beyond Explyra's reasonable control, including, without limitation, mechanical, electronic or communications failure or degradation.
